By using Registra, you agree to these Terms. Applies to both commercial breeders (B2B) and individual pet owners (B2C).
By accessing or using the Registra platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions, you may not access or use the Service.
These terms apply to all users of the platform, including commercial breeders operating as businesses (B2B) and individual pet owners or buyers acting as standard consumers (B2C).
2. Description of Service & SLAs
TL;DR Summary
Cloud-based breeder OS and genealogical registry. 99.9% uptime target, but service is "as-is" with no liability for interruptions.
Registra operates as both a cloud-based operating system for animal breeders and a private genealogical animal registry. Our Service provides digital tools for pedigree tracking, health record management, waitlist organization, and client communications.
We aim for a 99.9% uptime availability of the core platform. However, the Service is provided on an "as-is" basis. Registra is not liable for indirect damages or business interruptions resulting from temporary platform unavailability, scheduled maintenance, or circumstances beyond our control.
3. Subscriptions, Downgrades & Micro-Transactions
TL;DR Summary
Paid tiers: Essential, Advanced, Professional, plus free Starter. Downgrades keep data but revert to Starter rates. Puppy registrations (R100) and activations (R50) are non-refundable.
Downgrades:If you cancel a paid subscription or if a recurring payment fails, your account will automatically be downgraded to the Starter tier at the end of the current billing cycle. You will not lose access to the platform's tools or your existing data. However, upon downgrade, all subsequent puppy registrations will be billed at the standard Starter rate (R100 per puppy), and you will be required to pay the standard activation fees for any transferred dogs.
Micro-Transactions: Payments for individual puppy registrations (R100) and dog profile activations (R50) constitute the immediate delivery of digital goods. Because the digital pedigree PDF and interactive profile are generated instantly upon payment, these specific micro-transactions are strictly non-refundable.
4. Consumer Protection and Cooling-Off Rights
TL;DR Summary
7-day cooling-off period for personal purchases (ECTA Section 44). Forfeited if you use paid services. Does not apply to businesses.
In accordance with Section 44 of the South African Electronic Communications and Transactions Act (ECTA), if you are a natural person making a purchase for personal use, you are entitled to cancel a subscription without penalty within seven (7) days of concluding the agreement.
Exception: This cooling-off period is immediately forfeited if you begin utilizing the core paid services of the platform (such as registering a litter, managing applications, or generating certificates) within the seven-day window. This cooling-off right does not apply to juristic persons, registered businesses, or B2B contracts.
5. Acceptable Use, Suspension & Termination
TL;DR Summary
You are responsible for your content. We can ban accounts for fraud, forged documents, ethics violations, or animal cruelty without notice. Banned accounts lose access but data remains for registry integrity.
You are solely responsible for the legality, accuracy, and completeness of the data and content you upload to the platform. You agree not to use the platform to store illegal content, distribute malware, scrape data, or infringe on third-party intellectual property.
Administrative Authority: Registra reserves the absolute, unilateral right to suspend or permanently ban any user account without prior notice if we determine, at our sole discretion, that the user has committed fraud, submitted forged documents, violated our Code of Ethics, or engaged in animal cruelty. We are not obligated to hold tribunals or formal hearings.
Data Retention Upon Ban: If your account is permanently banned, you will immediately lose all access to the Registra platform. However, to preserve the historical accuracy and genealogical integrity of the registry, all previously submitted dog profiles, pedigrees, and lineage data will remain permanently in the Registra database.
6. Data Ownership and Intellectual Property
TL;DR Summary
You own your data. We own the platform software, code, design, and trademark. You get a limited licence to use our software.
You retain ownership of the pedigree records and client information you input into the Service. By uploading this data, you grant Registra a perpetual, non-exclusive license to host, process, and display that data to operate the registry and maintain accurate lineage records.
All Intellectual Property related to the platform itself (including the software architecture, algorithms, UI design, documentation, and the Registra trademark) remains the exclusive property of Registra. You are granted a limited, non-transferable, and revocable licence to use the software strictly in accordance with these Terms.
7. LIMITATION OF LIABILITY
TL;DR Summary
We provide software infrastructure, not veterinary/legal advice. Liability limited to amount paid in last 12 months. No indirect/consequential damages.
REGISTRA PROVIDES SOFTWARE INFRASTRUCTURE AND A GENEALOGICAL REGISTRY. WE DO NOT PROVIDE VETERINARY OR LEGAL ADVICE. WE DO NOT GUARANTEE THE BIOLOGICAL ACCURACY OF USER-SUBMITTED PEDIGREES OR HEALTH RECORDS.
TO THE MAXIMUM EXTENT PERMITTED BY THE CONSUMER PROTECTION ACT AND APPLICABLE LAW, REGISTRA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CUSTOMER TO REGISTRA DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. REGISTRA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
8. Connectivity and Force Majeure
TL;DR Summary
You are responsible for your own internet connection. ISP failures, power outages, and load shedding are not our responsibility.
Registra is hosted on resilient, globally distributed cloud infrastructure. However, you are solely responsible for procuring and maintaining the network connections and telecommunications links necessary to access the Service.
Registra shall not be held liable for your inability to access the platform due to local internet service provider failures, power grid failures, or scheduled South African load shedding. Such local infrastructural issues do not constitute a failure on the part of the Registra platform.
